General Terms and Conditions for the Services of Upside Education GmbH

1. Subject Matter of the Contract
We provide individual tutoring services for students. Each service takes place over a clearly defined period, with specific learning objectives that are agreed upon in advance between the customer (for minors, a legal guardian) and Upside Education.
2. Formation of the Contract
The tutoring contract covers a specified period, for example three or six months. The exact number of hours and the goals are agreed upon beforehand and confirmed in writing.
After the first lesson, you will receive an invoice for the entire agreed period, payable within 10 days.
3. Satisfaction Guarantee
We value your satisfaction with our instruction. If, after the first lesson, you find that the tutoring does not meet your expectations, you may terminate the contract and pay only for that single first lesson.
In this case, you must notify us within two (2) business days following the first lesson.
4. Payment Terms
The invoice for the entire period is issued after the first lesson and is payable within 10 days.
If payment is not made on time, we reserve the right to suspend further lessons until all outstanding amounts have been paid in full.
5. Cancellation and Rescheduling
For students
„Consistency is Key“
- Because we schedule tutoring for a set period, cancellations are generally not possible.
- However, a lesson may be rescheduled if the tutor agrees.
- In cases of illness or other valid reasons certified by a doctor, lessons may also be rescheduled.
For Tutors
Our tutors likewise plan their lessons carefully. Lessons can only be rescheduled if the student (or parent/guardian) agrees.
In the event of illness, a lesson can be postponed or taken over by a substitute tutor, provided it is organizationally feasible.
6. Duration and Termination of the Contract
The contract ends automatically once the agreed-upon period has concluded.
An extension of the tutoring for an additional period may be arranged at any time, subject to a new agreement.
Early termination of the contract during the current period is not possible unless there are compelling reasons (e.g., illness with a medical certificate) that make continuation impossible.
7. Liability
We strive to deliver high-quality instruction. However, we cannot guarantee specific learning outcomes, as they depend on many factors.
We accept no liability for damages resulting from force majeure (e.g., a tutor’s illness) or unforeseen events. In such cases, we will make every effort to find a suitable replacement arrangement.
8. Data Protection
Protecting your personal data is important to us. We collect and use personal information solely for the organization of lessons, billing, and communication.

9. Changes to These Terms
We reserve the right to update these General Terms and Conditions to reflect changes in legal or organizational requirements. You will be notified promptly of any changes, which shall take effect from the next agreed period of service.
